Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Ascend's website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Eligibility

To use Ascend, you must:

  • Be at least 13 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration and Security

Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service or other users.

Subscription Plans and Billing

Trial and Paid Plans

Ascend offers a 14-day free trial for new users. After the trial period, a paid subscription is required to continue using the Service. Paid plans provide access to all features, storage, and capabilities as described on our pricing page.

Billing

For paid subscriptions:

  • You will be billed in advance on a recurring basis (monthly or yearly)
  • Payment is due at the start of each billing period
  • We use Stripe for payment processing; your payment information is not stored on our servers
  • All fees are non-refundable except as required by law or as explicitly stated
  • We may change our pricing with 30 days' notice

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of that period.

Refunds

We offer a 30-day money-back guarantee for first-time subscribers. Contact us within 30 days of your initial purchase for a full refund. Subsequent renewals are non-refundable.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Harass, abuse, or harm other users
  • Spam or send unsolicited communications
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated tools to access the Service without permission
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization

Your Content

Ownership

You retain all ownership rights to the content you create, upload, or store in Ascend ("Your Content"). We do not claim ownership of Your Content.

License to Ascend

By using the Service, you grant Ascend a limited, worldwide, non-exclusive license to:

  • Store, process, and display Your Content as necessary to provide the Service
  • Make backups and copies for redundancy and disaster recovery
  • Share Your Content with collaborators you explicitly invite
  • Process Your Content with AI services when you enable AI features

This license ends when you delete Your Content or terminate your account, except for:

  • Content shared with other users (which they may retain)
  • Backup copies (deleted within 90 days)
  • Content required for legal or regulatory compliance

Responsibility for Content

You are solely responsible for Your Content and the consequences of posting or publishing it. You represent that you have all necessary rights to Your Content and that it does not violate these Terms or any applicable laws.

Intellectual Property

The Service, including its design, features, functionality, and content (excluding Your Content), is owned by Ascend and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. The Ascend name, logo, and related marks are trademarks of Ascend Inc.

Third-Party Services and Integrations

Ascend integrates with third-party services (Gmail, Outlook, Stripe, etc.). Your use of these integrations is subject to the third party's terms of service and privacy policy. We are not responsible for:

  • The availability or functionality of third-party services
  • Third-party data practices or security
  • Any loss or damage resulting from third-party service failures

Service Availability and Modifications

Availability

We strive to provide reliable service but cannot guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Technical issues beyond our control
  • Force majeure events

Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for material changes that negatively impact your use of the Service.

Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results obtained from the Service will be accurate or reliable

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASCEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Service interruptions or data loss
  • Unauthorized access to your account
  • Errors or omissions in content

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Ascend, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@optivationai.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes.

Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with applicable arbitration rules. Arbitration will take place at a mutually agreed location.

Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.

Governing Law

These Terms are governed by applicable law. Any disputes not subject to arbitration shall be brought in a court of competent jurisdiction.

Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Ascend regarding the Service and supersede all prior agreements.
